Our Website offers the following services (Services):
  • Providing tools and knowledge to businesses to manage their customers, vendors, products, assets, inventories, sales and purchase orders, production processes and recipes, production runs, and workforce, and to perform cost and profit analysis.
  • Providing tools and knowledge to individuals and food industry businesses to explore and manage food nutrition information.
Definitions
The terms "us" or "we" or "our" or "The Company" or "LogixPath" refers to LogixPath, LLC, the owner of this Website. A "Visitor" is someone that merely browses our Website. A "Site Administrator Member" is someone who has authority to represent a business and has registered with our Website to access and use our Services. A "Member" is a "Site Administrator Member" or someone who has been given a username and password by its "Site Administrator Member" to access and to use our Services. The term "User" or "you" is a collective identifier that refers to either a Visitor or a Member.
All text, information, graphics, design, and data offered through our Website or Services, whether produced by our Members or by us, are collectively known as our "Content". We distinguish content posted by our Members as "Member Content".
Acceptance of Agreement

IF YOU ARE AGREEING TO THESE TERMS ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE THE LEGAL AUTHORITY TO BIND THE LEGAL ENTITY TO THESE TERMS. IF YOU DO NOT HAVE SUCH AUTHORITY, OR IF YOU DO NOT AGREE TO BE BOUND TO EACH AND EVERY TERM AND CONDITION SET FORTH HEREIN, PLEASE EXIT OUR WEBSITE IMMEDIATELY AND DO NOT USE, ACCESS AND/OR BROWSE IT FURTHER.
Except as otherwise noted, this Agreement constitutes the entire and only Agreement between you and LogixPath, and supersedes all other Agreements, representations, warranties and understandings with respect to our Website, Services, and the subject matter contained herein. However, in order for you to use our Website and/or Services, you may also be required to agree to additional terms and conditions. Those additional terms and conditions will be incorporated into this Agreement unless otherwise stated.
We may amend this Agreement at any time without specific notice to you. The latest Agreement will be posted on our Website, and you should review this Agreement prior to using our Website. After any revisions to this Agreement are posted, you agree to be bound to any changes to this Agreement. Therefore, it is important for you to visit this page periodically to review the Agreement. Please read this Agreement carefully and save it. If you do not accept this Agreement, do not access and use our Website. If you have already accessed our Website and do not accept this Agreement, you should immediately discontinue use of our Website and Services.
Limited License
LogixPath grants you a non-exclusive, non-transferable, revocable license to access and use our Website and Services strictly in accordance with this Agreement. Your use of our Website and Services are solely for business internal, personal, non-commercial purposes, unless otherwise provided in this Agreement. No print out or electronic version of any part of our Website or Services may be used by you in any litigation or arbitration matter whatsoever under any circumstances.
Ownership: You acknowledge that, notwithstanding anything to the contrary herein, the Services are provided to you by LogixPath on a subscription basis, and the Software and Documentation is provided to you under a limited license, and neither has been sold to you. You also acknowledge that you have neither obtained nor will obtain any ownership or other right, title, or interest in or to the Services, Software, or Documentation or any Proprietary Rights relating thereto.
Legal Compliance
You agree to comply with all applicable domestic and international laws, statutes, ordinances and regulations regarding your use of our Website, Content, Services, and any software provided therein.
Our Relationship to You
This Agreement in no way creates any agency, partnership, joint venture, employee-employer or franchisor-franchisee relationship between you and LogixPath.
Our Intellectual Property
Our Website may contain our service marks, trademarks, logos and other brand designations ("LogixPath Marks") as well as those of our affiliates or other companies, in the form of words, graphics, and logos. Your use of our Website or Services does not constitute any right or license for you to use LogixPath Marks or our affiliates or other companies marks, without the prior written permission of LogixPath.
Our Content, as found within our Website and Services, is protected under United States and foreign copyrights. The copying, redistribution, use or publication by you of any such Content, is strictly prohibited. Your use of our Website and Services does not grant you any ownership rights to our Content.
Digital Millennium Copyright Act Compliance
Our Website will respond quickly to claims of copyright infringement as found in our Content, according to the terms of the Digital Millennium Copyright Act of 1998 (DMCA) as found under United States law (17 USC. § 512). If you believe any of your copyrights are infringed by our Content, please provide us with a written notice via mail, fax, or email that contains the following information:

Eligibility and Registration for Membership
To use our Services, you must submit a request on our Website or are granted a username and password by your Site Administrator to become a Member. Your Membership is not transferable or assignable and is void where prohibited.
By using our Website and/or Service, you agree to and to abide by all of the terms and conditions of this Agreement. LogixPath has sole right and discretion to determine whether to accept a Member, and may reject a Member’s registration, with or without explanation.
After LogixPath receives and reviews your request, if it accepts your request, it will email you a username and a password that will allow you to access our Services. You agree to maintain the confidentiality of your password and are fully responsible for all liability and damages resulting from your failure to maintain that confidentiality and all activities that occur through the use of your password.
You agree to immediately notify us of any unauthorized use of your password or any other breach of security. You agree that Our Website cannot and will not be liable for any loss or damage arising from your failure to comply with password security as discussed herein.
LogixPath Services Order
You may order the Services through an online order form in the LogixPath portal. Any order for the Services made pursuant to an Order Form is subject to the terms of this Agreement. An Order Form may contain additional or different terms, conditions, and information regarding the Services you are ordering as authorized and agreed to by LogixPath. In the event of any conflict or inconsistency between this Agreement and any Order Form authorized and agreed to by LogixPath, the applicable Order Form controls and governs over this Agreement, to the extent necessary to resolve the particular conflict or inconsistency only.
Services and Billing Communications: You agree that LogixPath may contact you via email at any time with information relevant to your use of the Services, including services order confirmation, billing communications, services status communications, etc., regardless of whether you have opted out of receiving marketing communications or notices.
Term, Renewal, and Termination
Each Services Order Form will specify your Initial Subscription Term and any applicable Renewal Term for the Services. If automatic term renewal is required or you selected the automatic term renewal option, each Renewal Term for the Services will begin automatically at the end of the Initial Subscription Term or Renewal Term, unless either party provides written notice of termination or modification of the Services prior to the current term's end date. Any statutory rights you may have under the applicable Laws to terminate your Services at an earlier time during the Initial Subscription Term or any given Renewal Term remains unaffected by this clause.
Customer Termination: You can submit subscription cancelation form to terminate the services in the LogixPath portal or email to support@logixpath.com at anytime, and your subscription will be terminated at the end of the current term, and no future charges to your payment method.
LogixPath Termination Rights: Notwithstanding anything to the contrary herein, if you fail to comply with any provision of this Agreement or any referenced policies, guides, notices, or statements, LogixPath may immediately suspend your access to the Services and terminate this Agreement. Additionally, LogixPath may terminate this Agreement, for any reason or no reason, upon thirty (30) calendar days' advance notice. If your Services are suspended for your failure to comply with this Agreement, LogixPath may retain any Charges previously paid by you if this Agreement is terminated, unless prohibited by applicable Law. Otherwise, LogixPath will refund the charge for the current term.
LogixPath will provide you thirty (30) calendar days following the expiration or termination date to retrieve your customer content, after which time your customer content may be deleted according to applicable Law, this Agreement, and our regularly scheduled deletion protocols, policies, and procedures.
Payments and Charges
You agree that LogixPath may charge your credit card, debit card, or other payment mechanism provided by you and approved by LogixPath "Payment Ecosystem" for amounts due and owing in connection with your use of the Services, as set forth in the applicable Order Form or otherwise used or ordered by or for you through the Services, including initial subscription fees, recurring renewal fees, one-time service fees, and any other fees and charges associated with the Services you order.
Non-Cancelable and Non-Refundable Charges: You agree that all your payments are non-cancelable and are final and non-refundable, unless otherwise agreed to by LogixPath, required by Law, or set forth in your Order Form.
Outstanding Balance and Late Payment: Without limiting our rights in this Agreement, you acknowledge that LogixPath is not required to provide any ordered services set forth in an Order Form until all outstanding balances due and owing for the ordered Services are paid in full. This includes, but not limited to, initial subscription order, then-current renewal term, and other services order. If any failure to pay Charges continues for seven (7) calendar days following the due date, LogixPath may terminate, suspend, or disconnect your Services immediately and without prior notice.
Content Disclaimer
The opinions expressed on our Website are not necessarily the opinions of LogixPath. Any Member Content posted by members are of the member’s opinion, and is not intended to malign any religion, ethic group, club, organization, company, individual or anyone or anything.
The Content may be changed without notice and is not guaranteed to be complete, correct, timely, current or up-to-date. Similar to any printed materials, the Content may become out-of-date.
We undertake no obligation to update any Content on our Website. Members are responsible for their own content, where applicable, and may update their Content at any time without notice and at their sole discretion. We reserve the right to make alterations or deletions to our Content at any time without notice. We may make alterations or deletions to Member Content with written request and permission from the member. We may make alterations or deletions to Member Content if the Member Content causes halt or interruption of our Services.
Errors, Corrections and Changes
We do not represent or otherwise warrant that our Website will be error-free, free from viruses or other harmful components, or that we will correct any errors. We do not represent or otherwise warrant that the information available on or through our Website will be correct, accurate, timely or otherwise reliable.
We may make changes to the features, functionality or content of our Website or Services at any time. We reserve the right in our sole discretion to edit or remove any documents, information or other content appearing on our Website or Services.
Financial, Legal and Other Advice Disclaimer
You hereby acknowledge that nothing contained in our Website shall constitute financial, investment, legal and/or other professional advice and that no professional relationship of any kind is created between you and LogixPath or our Members. Advertisers and sponsors are responsible for ensuring that material submitted for inclusion on our Website is accurate and complies with applicable laws. We are not responsible for the illegality or any error, inaccuracy or problem in the advertiser’s or sponsor’s materials.
THE INCLUSION OF THIRD PARTY ADVERTISEMENTS DOES NOT CONSTITUTE AN ENDORSEMENT, GUARANTEE, WARRANTY, OR RECOMMENDATION BY LOGIXPATH AND WE MAKE NO REPRESENTATIONS OR WARRANTIES ABOUT ANY PRODUCT OR SERVICE CONTAINED THEREIN.

LogixPath is not responsible or liable in any manner for any Content posted on our Website or in connection with our Services, whether posted or caused by Members of our Website, or by LogixPath. Although we provide rules for Member conduct and postings, we do not control and are not responsible for what Members post, transmit or share on our Website or Services, and are not responsible for any offensive, inappropriate, obscene, unlawful or otherwise objectionable content you may encounter on our Website or Services. LogixPath is not responsible for the conduct, whether online or offline, of any user of our Website or Services.
Our Website or Services may be temporarily unavailable from time to time for maintenance or other reasons. LogixPath assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, Member communications.
LogixPath is not responsible for any technical malfunction or other problems of any telephone network or service, computer systems, servers or providers, computer or mobile phone equipment, software, failure of email or players on account of technical problems or traffic congestion on the Internet or any combination thereof, including injury or damage to Member’s or to any other person’s computer, mobile phone, or other hardware or software, related to or resulting from using or downloading materials in connection with our Website or Services, including without limitation any software provide through our Website or Services.
Under no circumstances will LogixPath be responsible for any loss or damage, including any loss or damage or personal injury or death, resulting from anyone’s use of our Website or Services, or any interactions between Users of our Website or Services, whether online or offline.
LogixPath reserves the right to change any and all Content, the features or functionality of the software and other items used or contained in our Website or Services, at any time without notice. LogixPath may, in its sole discretion, discontinue the software services. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, LOGIXPATH’S LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER, AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US FOR WEBSITE AND/OR SERVICES ACCESS DURING THE PREVIOUS MONTH OF YOUR MEMBERSHIP PRIOR TO THE EVENT GIVING RISE TO LIABILITY.
Member Conduct
Members may post their own content to our Website through our Services (Member Content). Members understand that by using our Website or Service, they may be exposed to content that is offensive, indecent, or objectionable. We have no control over Member Content and do not in any way guarantee the quality, accuracy or integrity of such content. LogixPath is not responsible for the monitoring or filtering of any Member content. Should any Member Content be found illegal, LogixPath will submit all necessary information to the proper authorities.
If any Member Content is reported to LogixPath as being offensive or inappropriate, we may ask the Member to retract or otherwise modify the questionable content within 24 hours of being notified by LogixPath. Should the Member fail to meet such a request, LogixPath has full authority to either restrict the Member’s ability to post Member Content OR to immediately suspend OR to terminate the membership of the Member, without further notification to the Member.
Without limiting the foregoing, we have sole discretion to remove any Member Content that violates this Agreement or is otherwise objectionable in our sole discretion.
Members are responsible for complying with all applicable federal and state laws for their content, including copyright and trademark laws. Members shall respect copyright and trademark laws.
Members are responsible for complying with all applicable local government laws, regulations and guidelines for hosting public websites. LogixPath reserves rights to enable or disable a customer public website built and hosted on the LogixPath platform at anytime with or without a reason.
You warrant that you will not use our Services to infringe the intellectual property rights of others in any way. In accordance with the DMCA and other applicable law, we have adopted a policy of terminating Members who we deem, in our sole discretion, to be infringers of other’s intellectual property rights.
As a Member, you agree not to use our Services to do any of the following:
  1. upload, post or otherwise transmit any Member Content that:
    1. Violates any local, state, federal, or international laws.
    2. Infringes on any patent, trademark, trade secret, copyright or other proprietary rights of any party.
    3. Harms, threatens, defames, promotes violence or illegal activities, or is otherwise vulgar, obscene, abusive, harassing, tortuous, libelous, invasive of another’s privacy, hateful, or racially, ethically or otherwise objectionable.
    4. Links directly or indirectly to any materials to which you do not have a right to link.
    5. Contains any private information of any third party, including, without limitation, addresses, phone numbers, email addresses, Social Security numbers and credit card numbers without the consent of the parties.
    6. Contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment, or to extract information from our Website or Services.
    7. Contains any unsolicited or unauthorized advertising, solicitations, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation.
    8. You do not have a right to transmit under any law (i.e. intellectual property laws) or under contractual or fiduciary relationships (i.e. non-disclosure Agreements).
    9. In the sole judgment of LogixPath, is objectionable or which restricts or inhibits any other person from using or enjoying our Website or Services, or which may expose LogixPath, our affiliates, or our Users to any harm or liability of any type.
  2. use our Content to:
    1. Develop a competing website.
    2. Create compilations or derivative works as defined under United States copyright laws.
    3. Re-distribute it in any manner, including, but not limited to, sale, license, lease, rental, subscription, or any other distribution mechanism.
  3. Decompile, disassemble or reverse engineer our Website, Services, and any related software.
  4. Use our Website or Services in any manner that violates this Agreement or any local, state, federal, or international laws.
Use of Information
We reserve the right, and you authorize us, to the use and assignment of all of your information regarding your use of our Website and Services in any manner consistent with our Privacy Policy.
All remarks, suggestions, ideas, graphics, or other information communicated by you to us via, not limited to, online LogixPath Support Center or similar pages/forms, email, fax, or mail (collectively, "Submission") is considered assigned to us and is as such considered our property. We will not be required to treat any Submission as confidential, and will not be liable for any ideas (including without limitation, product, service or advertising ideas) and will not incur any liability as a result of any similarities that may appear in our future products, services or operations.
Without limitation, we will have exclusive ownership of all present and future existing rights to the Submission of every kind and nature everywhere. We will be entitled to use the Submission for any commercial or other purpose whatsoever, without compensation to you or any other person sending the Submission. You acknowledge that you are responsible for whatever material you submit, and you, not us, have full responsibility for the message, including its legality, reliability, appropriateness, originality, and copyright.
Privacy Policy

Payments
You represent and warrant that if you are purchasing something from us that (i) any credit information you supply is true and complete, (ii) charges incurred by you will be honored by your bank or credit card company, (iii) you will pay the charges incurred by you at the posted prices, including any applicable taxes, and (iv) if your initial payment method is dishonored, you will still pay the charges incurred, including any surcharge we may incur due to such dishonored payment.
Refund and Return Policy
To the extent that you purchase any services directly from us, we may refund you your purchase price within thirty (30) days of your purchasing our paid services by notifying us in writing of your desire for the refund and cancelling of the services, together with the reason for the request. Any refund or return may be subject to processing fees as found on our Website.
To the extent that you purchase any goods directly from us, you may request for refunding you your purchase price within ninety (90) days of your purchasing our products. We may refund you within thirty (30) days of you notifying us in writing of your desire for the refund, together with the reason for the request, subject to the return of the product to us in substantially the same condition as when purchased. Any refund or return may be subject to restocking fees as found on our Website.
Indemnification

Each party shall bear one-half of the arbitration fees and costs.
General Terms
This Agreement shall be treated as though it were executed and performed in Santa Clara County, California, and shall be governed by and construed in accordance with the laws of the State of California without regard to conflict of law principles. In addition, you agree to submit to the personal jurisdiction and venue of such courts. Any cause of action by you with respect to our Website or Service must be instituted within one (1) year after the cause of action arose or be forever waived and barred. Should any part of this Agreement be held invalid or unenforceable, that portion shall be construed consistent with applicable law and the remaining portions shall remain in full force and effect. To the extent that any Content is in conflict or inconsistent with this Agreement, this Agreement shall take precedence. Our failure to enforce any provision of this Agreement shall not be deemed a waiver of such provision nor of the right to enforce such provision. Personally Identifiable Information (PII): When you submit a request to become a Member to use our services, you must provide PII in order for us to provide you services. For example, we use your company or organization name and address, your primary contact name, email, and phone number to establish an account for your organization and your Site Administrator Member; we use your credit card number or bank account number to process your payments. You provide such information via a Request an Account, or similar, in online form at our Website or using our mobile application form, or via email to us.
Non-Personal Information (NPI): When you use our Website, we automatically collect NPI in certain areas of our web pages and services to provide customized and optimized services. For example, we use IP addresses to read and analyze the regions from which Visitors and Members visiting our Websites to provide optimized services. We use device and browser types to customize the user interface which is tailored to the display of the device.
Personal Data Visibility: member personal data PII and NPI are visible only to: 1) LogixPath System administrator for account and subscription payment management; 2) Account Owner (Site Administrator).
Personal Data Sharing: LogixPath do not share any member personal data with any third parties unless system integration or legally required, such as 1) integration with Payment Gateway provider (https://stripe.com) for the payment processing; 2) comply with applicable law or respond to, investigate, or participate in valid legal process and proceedings, including from law enforcement or government agencies.

Account and Data Deletion
Account owner can submit request in the LogixPath portal to delete its account with option of deleting member entered or uploaded data (contents) and account users information (PII). LogixPath system administrators will perform the data deletion in the LogixPath live production database within sixty (60) calendar days unless applicable law requirements or in response to, investigating, or participating valid legal process and proceedings, including from law enforcement or government agencies, which prohibits us from performing the requested data deletion.
Our Security Policy
We have taken steps to build our Website and WebServices using encryption and authentication tools to protect the security of your PII. When we collect your PII through our Website, we will encrypt our PII before it travels over the Internet using industry standards for conducting secure online transactions. We also use industry-standard technologies such as secure routers and fire walls to help protect your PII. Unfortunately, we cannot fully guarantee secure data transmission over the Internet because of its nature. Mobile Applications
Without limiting the generality of this Privacy Statement, in addition to information gathered through its Web sites or submitted to its Services, LogixPath may obtain information through applications (“Mobile Applications”) that Members run on their mobile devices (“Devices”). Mobile Applications provided by LogixPath may obtain information from, or access data stored on, Users’ Devices to provide services. For example, a Mobile Application may: access a camera on a User’s Device to enable the User to take a new photo or choose an existing photo and to upload it to the Services in the cloud; store Member's Content on a User’s Device to use offline, and read them from local store and send them to Services when the device is online; or, in the future, access contact information on a User's Device to enable the User to sync contact information between that stored on the User's Device and that stored in the Services.
Users may configure LogixPath Mobile Application services, and the information accessed or obtained by the Mobile Application on a User’s Device may be affected by the User's configuration.
The Company encourages you to review the End User License Agreement, or relevant terms of use, related to any Mobile Applications you download, install, use, or interact with to understand that Mobile Application's information practices.

Trial and Beta Services Terms of Use

Introduction
A Software as a Service (SaaS) edition - the LogixPath Operations Management Starter (LPOM Starter), is currently available to United States, Canada, and China users for free trial. LogixPath Chef Food Nutrition and Recipe Management (LogixPath Chef), is currently available to United States and Canada users for beta software free trial. Any free trial services, including, but not limited to, the LPOM Starter, the LogixPath Chef Starter, and any future trial offerings, are beta services.
Use of Trial and Beta Services
We shall make the Trial and Beta Services available to you subject to the LogixPath Master Agreement of Terms of Use and Trial and Beta Services Terms of Use (this Agreement). You shall allow only Users to access the Trial and Beta Services, and only for the purpose as defined by us.
Feedback
You agree to provide ongoing feedback to us regarding the Trial and Beta Services.
Confidentiality
Information that is disclosed by one party (the "Disclosing Party") to the other party (the "Receiving Party") in connection with this Agreement that is identified as confidential or that would reasonably be understood to be confidential based on the nature of the information or the circumstances surrounding its disclosure, is Confidential Information of the Disclosing Party.
Notwithstanding the foregoing, the Beta Services and all information provided or disclosed to You relating to the Beta Services is Our Confidential Information. The Receiving Party shall use the same degree of care to protect such Confidential Information that it uses to protect the confidentiality of its own confidential information of like kind (but in no event less than reasonable care) (i) not to use any Confidential Information of the Disclosing Party for any purpose outside the scope of this Agreement, and (ii) except as otherwise authorized by the Disclosing Party in writing, to limit access to Confidential Information of the Disclosing Party to those of its and its affiliates' employees, contractors and agents who need such access for purposes consistent with this Agreement and who have signed confidentiality agreements with the Receiving Party containing protections no less stringent than those herein. The Receiving Party may disclose Confidential Information of the Disclosing Party if it is compelled by law to do so, provided the Receiving Party gives the Disclosing Party prior notice of such compelled disclosure (to the extent legally permitted) and reasonable assistance, at the Disclosing Party's cost, if the Disclosing Party wishes to contest the disclosure.
If the Receiving Party is compelled by law to disclose the Disclosing Party's Confidential Information as part of a civil proceeding to which the Disclosing Party is a party, and the Disclosing Party is not contesting the disclosure, the Disclosing Party will reimburse the Receiving Party for its reasonable cost of compiling and providing secure access to such Confidential Information.
Trial Services Term and Termination
This Agreement shall commence upon your acceptance and shall remain in effect with respect to a Trial Services until our ceasing to make the applicable Trial Services available to You. The data created by trial users may be removed from the database, and the trial sites maybe deactivated and removed from the database at the time of earlier of either (1) The trial user has no activities for 3 months, for example not login to the account for 3 months, or (2) Our ceasing to make the applicable Trial Services available to You.
Beta Services Term and Termination
This Agreement shall commence upon your acceptance and shall remain in effect with respect to a Beta Services until the earlier of either (1) the general availability of the Services, or (2) Our ceasing to make the applicable Beta Services available to You. The data created by beta services may be removed from the database at the time of earlier of either (1) Our ceasing to make the applicable Beta Services available to You, or (2) We decide not to make the applicable Beta Services generally available.
No Warranty
THE TRIAL OR BETA SERVICES ARE PROVIDED "AS-IS," EXCLUSIVE OF ANY WARRANTY WHATSOEVER. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. The Trial or Beta Services may contain bugs or errors. Any production use of the Trial or Beta Services is at your sole risk. You acknowledge that we may discontinue making the Trial or Beta Services available to you at any time in our sole discretion. We may never make the beta Services generally available.
